Titan buys Turkey’s Traçim Çimento

The agreement, which is subject to customary closing conditions, provides for a consideration of approximately $190 million.

Titan SA is strengthening its expansion in Western Turkey, announcing the signing of a Share Purchase Agreement for the acquisition of 100% of Traçim Çimento Sanayi ve Ticaret A.Ş., a company with a strong presence in the greater Istanbul region.

The agreement, which remains subject to customary closing conditions, provides for a consideration of approximately 190 million dollars.

Traçim operates a state-of-the-art cement production facility with an annual capacity of roughly 2.5 million tons, serving the rapidly expanding domestic market. The company also benefits from strategic export advantages to neighboring countries as well as to the United States. In addition, the agreement includes provisions for the joint development of a large-scale photovoltaic park in collaboration with the sellers.

With this acquisition, the Titan Group further strengthens its footprint in the region, where it already operates a cement grinding unit in the Marmara area and a pozzolana quarry. The transaction also bolsters the Group’s export capabilities to the United States, a market of growing strategic importance.

This strategic investment forms part of the “TITAN FORWARD 2029” program, which aims to optimize the Group’s geographical presence and accelerate growth through targeted acquisitions.

The transaction is expected to close within the first quarter of 2026, following the necessary legal procedures and regulatory approvals. According to the Group’s estimates, the acquired company will contribute annual revenues exceeding 140 million dollars and EBITDA of more than 50 million dollars, enhancing earnings per share as early as 2026, with additional increases anticipated in subsequent years due to expected synergies.
