According to the company’s announcement, the sale will be executed through a two-step transaction, which includes:

The sale of certain TKRM assets to Digi, including the prepaid mobile customer base, specific spectrum usage rights, and part of the mobile base station network.

The sale of TKRM shares (representing the entire share capital of TKRM, excluding seven shares held by S.N. Radiocomunicații) owned by OTE, excluding the aforementioned assets, to Vodafone Romania.
The completion of the transaction is subject to the finalization of the relevant agreements between the parties, as well as approval from ANCOM (the Romanian Regulatory Authority) on specific matters. The transaction is expected to be completed within the third quarter of 2025.
